NOTICE OF MEETING AND

PUBLIC HEARING

OF THE BOARD OF COMMISSIONERS

OF THE COUNTY OF DOUGLAS,

IN THE STATE OF NEBRASKA

 

Notice is hereby given that the Board of Commissioners of The County of Douglas, in the State of Nebraska, (the “County”) will conduct a public hearing on April 16, 2024, at 9:00 a.m. at the Legislative Chambers of the Civic Center, 1819 Farnam Street, Omaha, Nebraska, concerning the issuance by the County, in accordance with Sections 13 1101 et seq., Reissue Revised Statutes of Nebraska, as amended,  (the “Act”) of its Qualified 501(c)(3) Revenue Bonds (Outlook-Nebraska, Inc. Project), in the maximum aggregate principal amount of not to exceed $5,500,000 (in one or more series, the “Bonds”), for the benefit of Outlook-Nebraska, Inc., a Nebraska nonprofit organization (the “Borrower”).

The proceeds of the Bonds will be loaned by the County pursuant to the Act and in furtherance of the purposes of the Act, to the Borrower and used to finance a portion of the costs of acquiring and installing certain equipment in the Borrower’s facilities located at 4125 South 72nd Street, Omaha, Nebraska 68127 (the “Project”).  The Project will be owned and operated by the Borrower.

Following such public hearing, the Board will consider for adoption a resolution granting public approval to such proposed issuance of the Bonds to finance the Project for the purpose of complying with Section 147(f) of the Internal Revenue Code of 1986, as amended (the “Code”).

THE BONDS SHALL NEVER CONSTITUTE AN INDEBTEDNESS OF THE COUNTY WITHIN THE MEANING OF ANY STATE CONSTITUTIONAL PROVISION OR STATUTORY LIMITATION, SHALL NEVER CONSTITUTE NOR GIVE RISE TO A PECUNIARY LIABILITY OF THE COUNTY OR A CHARGE AGAINST ITS GENERAL CREDIT OR TAXING POWERS, AND NO TAX FUNDS WILL EVER BE USED TO PAY ANY PART THEREOF, SUCH BONDS AND THE INTEREST THEREON TO BE PAYABLE SOLELY FROM THE REVENUES DERIVED FROM THE LOAN AGREEMENT AMONG THE COUNTY, THE BORROWER AND KANSAS CITY FINANCIAL CORPORATION, AN AFFILIATE OF UMB BANK, N.A. (THE “LENDER”) RELATED TO THE BONDS AND THE PROJECT.

All interested persons are invited to present comments orally or in writing at the public hearing concerning the issuance of the Bonds and the Project.
